1. Agreement to Terms

By accessing or using SwingSignal.ai (the “Service”), operated by Pearl Street Ventures (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to update these Terms at any time. Changes become effective upon posting to this page. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

SwingSignal.ai provides AI-generated swing trade setups, market analysis, conviction scoring, and related educational content. The Service includes a web application, daily dispatch emails, and related tools (collectively, the “Platform”).

3. Not Financial Advice

The Service does not constitute financial advice, investment advice, trading advice, or any other form of professional advice. All information provided through the Platform — including trade setups, conviction scores, regime analysis, and any other content — is for informational and educational purposes only.

You acknowledge and agree that:

• All trading and investment decisions are made solely by you at your own risk.
• Past performance of any trade setup or strategy does not guarantee future results.
• Trading securities involves substantial risk of loss and is not suitable for every investor.

• The Company, its founders, and its affiliates are not registered investment advisors, broker-dealers, or financial planners.

4. Eligibility

Access to the Founders Beta program is offered on a limited, invitation or waitlist basis. Beta features may be incomplete, contain bugs, or change without notice. We make no guarantees regarding the availability, accuracy, or reliability of beta features. Beta access may be revoked at any time.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, algorithms, trade logic, scoring models, and software — are the exclusive property of Pearl Street Ventures and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Service without our prior written consent.

8. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Scrape, crawl, or use automated means to access or extract data from the Platform.
• Reverse-engineer, decompile, or attempt to extract source code from any part of the Service.
• Redistribute, resell, or sublicense trade setups or any other content from the Platform.
• Interfere with or disrupt the integrity or performance of the Service.
• Impersonate any person or entity or misrepresent your affiliation.
• Use the Service to manipulate markets or engage in any form of market abuse.

9. Third-Party Services

The Service may integrate with or contain links to third-party services, including brokerage platforms, data providers, and authentication services. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that any trade setups or analysis will be accurate or profitable.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PEARL STREET VENTURES, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Pearl Street Ventures and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Texas.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pearl Street Ventures regarding the Service and supersede all prior agreements and understandings.
